We provide advice and representation
on the sale, purchase, and leasing of aircraft, aircraft engines,
and other components. Our services include advising on the terms of
sale and purchase agreements, leases, mortgages, and tax and
finance structures. We also act for clients on
the termination of leases and the enforcement of security,
including repossessions.
Our taxation know-how further helps
our clients to identify commercial opportunities, whether by
reducing the costs of implementing a transaction or by minimising
subsequent tax outflows.
Matters we have worked on
include:
- advising on a portfolio of aircraft finance (including German
leverage leases) and operating leases in preparation for a client's
disposal of a leased aircraft fleet to another operator;
- acting on a number of separate finance lease transactions
(primarily Japanese leverage leases) for major airlines, and
lessors/arrangers;
- acting for a major aerospace manufacturer in relation to engine
pooling agreements;
- advising a major airline on the sale of
cargo aircraft and on VAT payable on lease payments in respect of a
Boeing 747-400 aircraft; and
- advising a leasing company regarding aircraft mortgage
registration requirements.
